INDEPENDENT CONTRACTOR
15.\x05CONSULTANT is an independent contractor and has no authority to bind or obligate IBM in any way.No further relationship of any type or duration is created or implied in this agreement.
16.\x05CONSULTANT agrees to restrict access to IBM's proprietary information to those persons employed by CONSULTANT who have a need for access to such information and who have agreed to be bound by the confidentiality provisions of the CONSULTANT's agreement.
ADDITIONAL REPRESENTATIONS AND WARRANTIES
17.\x05CONSULTANT warrants that it will conduct all of its activities hereunder in compliance with applicable law.
18.\x05CONSULTANT represents and warrants that in its performance of the duties and services to be provided under this agreement it shall not breach or violate any duty it has to any third party regarding confidentiality or the protection or use of information,samples or other materials.
19.\x05CONSULTANT represents and warrants that there are no agreements with any other parties that conflict with or limit the obligations taken or rights conferred in this agreement.
OTHER AGREEMENTS,MODIFICATIONS
20.\x05This agreement supersedes and replaces any other agreement covering the subject matter hereof.Additions to or modifications of the agreement,including this paragraph,must be in writing and signed by both parties.

19.顾问表示并承诺,其未与任何第三方签订任何限制本协议规定之义务或授予之权利,或者与所述义务及权利相抵触的协议.

20.本协议取代任何涉及本协议所述之主题的其他协议.对本协议（包括本条款）的增加或变更必须经双方书面签署.
